WiDonate Terms of Service
Effective Date: October 1, 2025.
Welcome to WiDonate! These Terms of Service (“Terms”) form a legal agreement between you and WiDonate, Inc., a Delaware corporation (“WiDonate,” “we,” or “us”). They govern your access to and use of WiDonate’s websites, mobile apps, and fundraising platform (collectively, the “Services”).
By creating an account, clicking “Agree,” or using the Services, you confirm that you are at least 18 years old and agree to these Terms and our Privacy Policy.
1. The Services
WiDonate provides technology tools that enable nonprofits and athletic departments to raise funds through digital donations, round-ups, and event challenges. WiDonate is not a financial institution or charitable organization. Donations flow directly from donors to nonprofits through third-party processors (e.g., Plaid, Stripe, ACH, or wire).
2. Accounts and Eligibility
You agree to provide accurate information when creating an account and to maintain the confidentiality of your login credentials. You are responsible for all activity under your account. WiDonate may suspend or terminate accounts that violate these Terms or applicable law.
3. Donations and Payments
Donations are processed by trusted third-party payment providers. WiDonate does not store full bank or card numbers. Once processed, donations are final; refund or chargeback requests must be made directly to the recipient nonprofit.
WiDonate may display donation totals and related progress updates.
Nonprofits are subject to separate agreements that govern platform and consulting fees.
4. Fees and Optional Fee Coverage
WiDonate charges nonprofits standard platform and service fees, which are described in their agreements or shown within the Services.
When you make a donation, you might see two optional choices:

Cover processing fees: You can choose to pay a small extra amount so the nonprofit receives 100% of your intended donation.

Add a tip to WiDonate: You can also choose to leave an optional tip to help us maintain and improve the platform for nonprofits and donors.
Both options are completely voluntary and will be clearly shown before you confirm your donation. Tips and fee coverage amounts are non-refundable and not tax-deductible. WiDonate does not provide tax advice.
5. Acceptable Use
You agree not to:

Use the Services for unlawful, deceptive, or fraudulent purposes.

Misrepresent your identity, organization, or fundraising purpose.

Upload harmful code, attempt unauthorized access, or disrupt the Services.

Copy, scrape, or reverse-engineer any part of the Services.
WiDonate may investigate suspected misuse and take any lawful action, including suspension, data review, or termination of access.
6. Intellectual Property
All software, technology, and content on the Services belong to WiDonate or its licensors. You receive a limited, revocable license to use the Services for lawful purposes.
7. Privacy and Data Use
Your privacy matters to us. Please review our Privacy Policy to understand how we collect, use, and protect personal information.

Donors: WiDonate controls donor data to operate, improve, and personalize the platform. It is WiDonate’s strict policy not to sell or rent any personal data with third-party vendors, advertisers, or marketers. Donor information is used only to process donations, provide receipts, support campaigns, and enhance user experience within WiDonate.

Nonprofits: Receive donor details only for donations made to their own organization and must not sell, transfer, or misuse that data in any way.

Security: WiDonate uses industry-standard safeguards to protect information but cannot guarantee absolute security.
8. Campaign and Content Responsibility
Nonprofits are solely responsible for the accuracy, legality, and compliance of their fundraising campaigns and content. WiDonate may remove or disable any campaign, content, or account that violates these Terms, applicable law, or community standards.
9. Disclaimers
The Services are provided “as is” and “as available.” WiDonate makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee fundraising outcomes or uninterrupted operation.
10. Limitation of Liability
To the fullest extent permitted by law: WiDonate is not liable for any indirect, incidental, consequential, or punitive damages. WiDonate’s total liability shall not exceed the greater of (a) total fees paid to WiDonate in the six (6) months preceding the claim or (b) $100. This limitation does not apply to gross negligence, willful misconduct, or obligations that cannot legally be excluded.
11. Indemnification
You agree to indemnify and hold harmless WiDonate, its affiliates, officers, and employees from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
12. Termination
WiDonate reserves the right, at its sole discretion, to suspend, restrict, or terminate any account (whether belonging to a nonprofit organization, donor, or other user) at any time and without prior notice if WiDonate reasonably believes that:

The account or user has violated these Terms, applicable laws, or WiDonate’s policies;

The account is being used for fraudulent, deceptive, or unauthorized purposes;

Campaign content is misleading, illegal, or harmful to donors, nonprofits, or the public;

Continued access may harm the integrity, reputation, or security of the WiDonate platform;

The account has remained inactive for an extended period, as determined by WiDonate; or
-
Termination or suspension is required by court order, regulator, or law enforcement authority.
WiDonate may also remove or disable access to any campaign, fundraising event, or user-generated content at its discretion.
Upon suspension or termination:

Access to the Services and associated data may be immediately disabled;

Any rights granted under these Terms shall cease; and
-
Sections 6 through 17 shall survive termination.
WiDonate assumes no liability to any party for suspension or termination under this Section.
13. Force Majeure
WiDonate shall not be liable for any delay or failure caused by events beyond its reasonable control, including natural disasters, network failures, labor disputes, or governmental actions.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
15. Dispute Resolution
The Parties shall attempt to resolve disputes through good faith negotiations. If unresolved, all claims must be brought exclusively in the state or federal courts of Delaware, and each Party consents to such jurisdiction and venue. To the fullest extent permitted by law, each Party waives the right to a jury trial.
16. Notices
All notices may be sent by email to support@widonate.com.
17. Miscellaneous
Severability: If any provision is held invalid, the rest remain enforceable.
No Waiver: Failure to enforce any term is not a waiver of that term.
Assignment: You may not transfer these Terms without WiDonate’s written consent.
Entire Agreement: These Terms and the Privacy Policy represent the entire agreement between you and WiDonate.
